Government Hearings

  • 1955 - GOV (Senate) - Stock Market Study: Regulation of Unlisted Securities, (D-NY)
    • Part 1 -
    • Part 2 - 1955 0627/30 and 0701 - p1023-1728
      • S. 2054 - A Bill to Amend the Securities Exchange Act of 1934, as Amended
      • (p1131) - Statement of the American Life Convention and the Life Insurance Association of America
        • The life-insurance business is wholeheartedly in accord with the principle of providing the public with information pertaining to the financial and management affairs of any corporation which offers investments to the public. We not only subscribe to this principle but wish to point out that insurance companies, both stock and mutual, make full disclosures covering all phases of their
operations which are of interest to the public.

          • As to other types of corporations,
or issuers of securities which do not now register with the Securities and Exchange Commission, we are not informed whether the facts justify extending the Securities and Exchange Act of 1934 as provided in S. 2054.
          • But the life insurance companies take the position, which we understand is also shared by other segments of the insurance business, that it is neither necessary nor desirable to require insurance companies to register with the SEC and make the detailed reports that would be required if S. 2054 were enacted in its present form.
        • (p1131) - The business of life insurance is so closely related to the welfare of such a large
percentage of the people of the United States that its supervision has always been more protective than the regulation established for ordinary business activities.
        • (1131
        • (p1132) - Life Insurance is an Open Book
        • (p1132) - The insurance business is so completely regulated by statutory law that there is little opportunity for the management of a company to take any action that would be detrimental to stockholders.
        • (p1133) - Because of the quasi-public nature of the life-insurance business, there is more information published than is ordinarily available in the case of other businesses.
          • Any policyholder or stockholder can get full information pertaining to any company from the insurance departments of the States in which it
            is licensed.
  • 1963 - GOV (House) - Report of Special Study of Securities Markets of the Securities and Exchange Commission

    • (p98) - The Securities and Exchange Commission and the Insurance Business - Facts and Fancies - (By Louis Loss, professor of law, Harvard University, Sept. 28, 1966)
